BUSINESS INTRODUCER AGREEMENT

 
Between the member of the sponsorship program (the business contributor), and the Bookislive website, managed by  the company Opportuniweb.Ltd, Registered office: POD 2, the old station house 15a main street, Blackrock, Co Dublin – A94T8P8 – IRELAND – Company registration number: 620080
 
ARTICLE 1: Purpose of the contract
 
The purpose of the present contract is to determine the conditions under which the Business Contributor represented by you, will present to Bookislive.com. a certain number of customers for the purchase by them of one or more subscriptions, products and services marketed by OPPORTUNIWEB.com.
 
ARTICLE 2 : DÉFINITION
 

2.1 The Business Contributor Contract governs the relationship between a company and a Business Contributor. This professional puts his prospects in contact with Opportuniweb. The Business Contributor’s mission is to prospect Opportuniweb’s market in order to attract new customers. In return, the Business Contributor receives a commission.

2.2 Clients are defined as individuals or companies who require the services and products offered by Bookislive.com2.3 This Business Contributor Agreement is not an employment contract. This professional provides services in his or her own name. The Business Contributor is therefore independent. As such, he/she will not be subject to any subordination by Opportuniweb.Ltd.

2.4 The business introducer is not competent to negotiate or conclude contracts on behalf of the company. Therefore, he/she will not be considered a sales agent.

2.5 The Business Contributor acts in his own name with complete freedom. He has no exclusivity vis-à-vis Opportuniweb.Ltd. He is not assigned any territory, but may conduct his customer research internationally, as defined in article 4.2.

2.6 If he so wishes, the Business Contributor will have the possibility of advising other independent and professional Business Contributors of Opportuniweb.Ltd, he will then receive additional commissions as described in articles 6.2 to 6.6, based on a percentage of the latter’s direct commissions and according to our unilevel affiliate program, each Business Contributor will then be able to do the same. However, each Business Contributor will be limited to 2 levels of depth.

2.7 Each new Business Contributor who joins Bookislive.com and is sponsored by the Business Contributor mentioned in this contract will automatically join LEVEL 1.

2.8 Each new Business Contributor who joins Opportuniweb.Ltd and is sponsored by a Level 1 Business Contributor will automatically join LEVEL 2.

ARTICLE 3: OPPORTUNIWEB’S OBLIGATIONS
 
3.1 The Company undertakes to honor any orders that may be placed with it by customers introduced by the Business Contributor, in accordance with the terms and conditions defined in the present contract and in compliance with its general terms and conditions of sale.
3.2 OPPORTUNIWEB undertakes to provide the Business Contributor with information on the products and services offered on the company’s Bookislive.com site.
3.3 OPPORTUNIWEB provides the Business Contributor with an account called “Affiliate Account” in which he/she can find all the information he/she needs, in particular details of sales generated by his/her referrals in real time as well as the amount of his/her commissions in real time, among other things.
 
ARTICLE 4: OBLIGATIONS OF THE COMMERCIAL CONTRIBUTOR
 
4.1 The Business Contributor undertakes to introduce customers likely to purchase the subscriptions, products and services marketed by Bookislive.com However, the Business Contributor is not bound by an obligation of result. If the recommendation does not result in a sale, the Business Contributor will not be held responsible; he/she will simply not receive his/her remuneration. 4.2 List of countries concerned : 4.3 The Business Contributor is prohibited from : – Copy or use Bookislive.com and Opportuniweb logos for advertising purposes. – It is strictly forbidden for the business introducer to promote the Bookislive.com and Opportuniweb.com site by emailing or any other network other than with the visuals provided by Opportuniweb. 4.4 The Business Contributor shall refrain from any intensive advertising or SPAM that could damage the reputation of Opportuniweb.Ltd.
 
ARTICLE 5 : Conditions of eligibility for the Business Contributor :
 
5.1 To be eligible for remuneration for his services, the Business Contributor must have a valid written mandate signed by both parties, defining the nature and amount of the remuneration to which the Business Contributor is entitled. 5.2 The Business Contributor must comply with all applicable laws and regulations and refrain from any behavior that could be considered a violation of laws or regulations or of good morals. 5.3 The Business Introducer will provide professional and diligent services and will not take any initiative that could damage the reputation of customers or Opportuniweb.Ltd. 5.4 The Business Introducer shall comply with all terms and conditions of the engagement and shall not disclose confidential information to third parties. 5.5 The business introducer must be of legal working age in his/her country of residence. He must inform Opportuniweb.Ltd of his identity with an official document. 5.6 The business introducer must be a member of a recognized professional organization or association and hold a valid certificate or license. He must inform Opportuniweb.Ltd of the identity of his company with an official document. 5.7 The business introducer must declare his activity and income to his tax authorities.
 
ARTICLE 6: Direct commissions from the business introducer
 
6.1 Commissions are calculated on the amount of sales excluding tax.
6.2 The business introducer will receive a commission of 10% on the amount of sales (excluding taxes) made by the customers he has referred to the Opportuniweb.com site. These sales, which will have been made to customers introduced by the business introducer, will take place under the terms and conditions defined in article 1, for the entire duration of the present contract.
6.3 LEVEL 1 –
The business introducer will receive an additional commission corresponding to 50% of the direct commission of each business introducer copied from level 1, i.e. 50% of 10%.
6.4 LEVEL 2 –
The business introducer will receive an additional commission corresponding to 40% of the direct commission of each business introducer copied from level 2, i.e. 40% of 10%.
6.5 . Fees due under the present Business Contributor contract are earned upon acceptance of the contract(s) or purchase(s) by the customers presented to the Company, under the conditions defined above.
6.6 Expenses (including transport costs) necessarily incurred by the Business Contributor for the execution of his mission or on the Company’s instructions, or to carry out operations under the best conditions, will be at his expense. Opportuniweb.Ltd. will not bear or reimburse any other expenses.
 
ARTICLE 7 : Payment of commissions on sales.
 
To collect his earnings, the business contributor undertakes to present an invoice mentioning his name, tax address and company identification number (trade register number). Earnings are payable on presentation of a commission invoice issued by the business introducer, as soon as a sum of 50 euros has been capitalized on his or her business introducer account, i.e. within approximately 30 days of the end of the month. The commission is payable by bank transfer via Stripe Connect. On the other hand, no commission will be due to the Business Contributor if the sale cannot be completed due to circumstances not attributable to the Company.
 
ARTICLE 8 : Inadmissibility of the contract.
 
As the present contract has been concluded intuitu personae, it cannot under any circumstances be assigned or transferred, nor can the rights and obligations contained therein be transferred to any person, and in any form whatsoever, by either party without the express, prior and written agreement of the other party. Opportuniweb.Ltd reserves the right to refuse any affiliation which it does not consider to be of obvious interest, in terms of commercial partnership or image, for either party, without having to justify its decision.
 
ARTICLE 9 : Insurance
 
The business introducer undertakes to take out an insurance policy guaranteeing his professional civil liability for all activities and obligations resulting from the present contract.
 
ARTICLE 10 : Mutual declaration of independence
 
The parties declare and acknowledge that they are and will remain, for the duration of the present contract, independent commercial and professional partners, each insuring the risks of its own activity.
 
ARTICLE 11 : Loyalty and good faith
 
The parties undertake to behave towards each other at all times as loyal partners acting in good faith, and in particular to inform each other of any difficulties they may encounter in the performance of the present contract.
 
ARTICLE 12: Confidentiality :
 
The parties undertake to treat as strictly confidential all information, of whatever nature and on whatever medium, transmitted by one of the parties to the other, on the occasion of the performance of the present agreement, subject however to information contained in which the party receiving it can provide proof : That it was lawfully in his possession before receiving it from the other party ; – that it was, at the date of signature of the present Agreement, in the public domain, or ; – that it was communicated to it by a third party in good faith without such third party having required a confidentiality undertaking in respect of it. Each party undertakes to take all measures to ensure compliance with this obligation of confidentiality and shall refrain from disclosing to any person or entity, directly or indirectly, any confidential information of which it may have become aware in the context of this Contract and/or from reproducing and/or using it, either on its own behalf or on behalf of third parties, for purposes other than the performance of this Contract.
 
ARTICLE 13: DURATION
 
The present Contract is concluded for an indefinite period.
 
ARTICLE 14: TERMINATION
 
14.1 This Agreement may be terminated at any time by either party, provided that the other party receives three (3) months’ written notice by e-mail of the intention to terminate. 14.2 The business introducer acts in his own name and cannot in any way commit the name of Opportuniweb.Ltd on its official documents. Any breach of the rules of this contract will expose the business contributor to the termination of the partnership and his account may then be closed immediately.
 
ARTICLE 15: APPLICABLE LAW
 
This Agreement is governed by Irish law.
 
ARTICLE 16: ACCEPTANCE
 
The parties declare that they have read and accepted the conditions set out in the present contract.
 
ARTICLE 17: MODIFICATION
 
The present Contract may be modified or cancelled by OPPORTUNIWEB at any time and unilaterally. Any modification must be communicated in writing to the Business Contributor.
